Terms of Service

These Terms of Service ("Terms") govern your use of the Auxtri platform operated by Auxtri LLC ("Auxtri", "we", "us", or "our"). By using Auxtri, you agree to these Terms. If you don't agree, please don't use our service.

1. Service Description

Auxtri is a healthcare AP automation platform that processes vendor inquiries via email, queries your ERP system, and generates draft responses. We provide the service "as is" and may update features without notice.

Auxtri requires integration with your email system (Microsoft 365) and ERP system (Workday, PeopleSoft, Infor FSM, or other supported systems). You are responsible for maintaining these integrations.

2. Account Registration

To use Auxtri, you must:

  • Be authorized to bind your organization to these Terms
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Use Microsoft Entra ID (Azure AD) for authentication

You are responsible for all activity under your account. We are not liable for unauthorized access resulting from your failure to protect your credentials.

3. Acceptable Use

You agree NOT to:

  • Use Auxtri for any illegal purpose or violate any laws
  • Attempt to access or interfere with our systems or other users' data
  • Reverse engineer, decompile, or attempt to extract source code
  • Upload malware, viruses, or malicious code
  • Use Auxtri to send spam or unsolicited communications
  • Share your account credentials with unauthorized users
  • Remove or alter any proprietary notices or branding

We reserve the right to suspend or terminate accounts that violate these terms.

4. Business Associate Agreement (BAA)

All customers receive a Business Associate Agreement (BAA) as part of their subscription. The BAA governs how we handle Protected Health Information (PHI) and supersedes these Terms in case of conflict regarding PHI.

We comply with HIPAA Security Rule and Privacy Rule requirements. You remain the Covered Entity responsible for determining what constitutes PHI in your data.

5. Data Ownership and Rights

Your Data

You retain all ownership rights to your data (emails, invoices, vendor information, etc.). We process your data solely to provide the service and as permitted by the BAA.

Our IP

Auxtri owns all rights to the platform, including software, algorithms, models, and documentation. These Terms do not grant you any intellectual property rights except the right to use the service.

Usage Analytics

We may use aggregated, de-identified data to improve our service, train AI models, and generate insights. This data cannot be traced back to you or your organization.

6. Fees and Payment

Pricing is outlined in your subscription agreement. You agree to pay all fees on time. We may:

  • Change pricing with 30 days' notice
  • Suspend service for non-payment after 15 days past due
  • Charge late fees of 1.5% per month on overdue balances
  • Require payment via ACH, wire transfer, or credit card

All fees are non-refundable except as required by law or stated in your subscription agreement.

7. Service Level and Uptime

We target 99.9% uptime (measured monthly) but do not guarantee uninterrupted service. Scheduled maintenance is excluded from uptime calculations.

We are not responsible for downtime caused by:

  • Your internet connectivity or infrastructure
  • Third-party services (Microsoft 365, your ERP, Azure)
  • Force majeure events beyond our control
  • Scheduled maintenance (with advance notice)

8. Limitation of Liability

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUXTRI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claim related to Auxtri will not exceed the amount you paid us in the 12 months before the claim arose.

You understand and agree that:

  • Auxtri generates draft responses that require human review
  • You are responsible for reviewing and approving all responses before sending
  • We are not liable for incorrect responses sent without proper review
  • AI models may occasionally produce inaccurate results
  • You remain responsible for all vendor communications and payments

9. Warranties and Disclaimers

AUXTRI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that Auxtri will be error-free, secure, or uninterrupted, or that defects will be corrected. Use of Auxtri is at your own risk.

10. Indemnification

You agree to indemnify, defend, and hold harmless Auxtri and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of Auxtri
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Responses sent through Auxtri (you review and approve all responses)
  • Your breach of the BAA or HIPAA requirements

11. Termination

By You

You may terminate your subscription at any time by providing 30 days' written notice. You remain responsible for fees through the end of your billing period.

By Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Pose a security risk to Auxtri or other users

Effect of Termination

Upon termination, we will delete your data within 30 days unless legally required to retain it. You may request an export of your data before termination.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Auxtri platform at least 30 days before the changes take effect. Your continued use after changes constitutes acceptance. If you don't agree to changes, you may terminate your subscription.

13. Dispute Resolution

Informal Resolution

If you have a dispute, please contact us at info@auxtri.com first. We'll work in good faith to resolve it.

Arbitration

If we can't resolve the dispute informally, either party may initiate binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration will be conducted in [Your State] and governed by [Your State] law.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or class-wide arbitration.

14. General Provisions

Governing Law: These Terms are governed by the laws of [Your State] without regard to conflict of law principles.

Entire Agreement: These Terms, together with your subscription agreement and BAA, constitute the entire agreement between you and Auxtri.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Assignment: You may not assign these Terms without our written consent. We may assign these Terms at any time.

Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
